Terms of service.
These terms govern a clinic's use of the Nidl workspace and related services. Patients using Nidl's booking and messaging services are covered by the separate patient terms. Effective June 10, 2026 (v1 — under legal review).
1 · The service
Nidl provides an operations layer for primary-care clinics: intake and document handling, review queues, follow-through tracking, scheduling, patient booking and messaging, and reporting. Nidl is operational software. It is not a medical device and does not provide clinical advice — AI-generated suggestions are drafts for your staff to review, and nothing reaches a patient without a human action at the clinic.
2 · Health information & custodianship
Your clinic remains the custodian (or equivalent under your province’s law) of all patient health information processed through the service. Nidl processes that information only on your instructions, under the Data Processing Agreement, which is incorporated into these terms for any PHI processing.
3 · Accounts & acceptable use
You are responsible for the accuracy of your workspace data, for who you invite, and for keeping credentials secure. Don’t attempt to access another clinic’s data, probe or overload the service, or use it for anything unlawful. We may suspend access to protect the service or its data, and will tell you why.
4 · Fees
Pilot use is free unless your order form says otherwise. Paid plans, when they begin, are invoiced per the order form; thirty days’ notice before any price change takes effect.
5 · Availability & support
We operate the service with commercially reasonable skill and care, maintain backups, and post status updates for material incidents. During the pilot, no specific uptime SLA applies unless agreed in writing.
6 · Intellectual property
Nidl owns the software; you own your data. We may use aggregated, de-identified operational metrics (never patient-identifiable data) to improve the service.
7 · Termination & data return
Either party may terminate with thirty days’ written notice (or immediately for material breach). On termination we return or make exportable your clinic’s data in a standard format, then delete it from production systems within ninety days, except where law requires longer retention of audit records.
8 · Liability
Neither party is liable for indirect or consequential damages. Nidl’s total liability is capped at the fees paid in the twelve months before the claim (or $1,000 during a free pilot). Nothing limits liability that cannot be limited by law.
9 · Governing law
These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there. Updates are posted here with a new effective date; material changes are notified to your workspace owner.
